Carol Graebner

Carol Graebner is the former Executive Vice President and General Counsel at Direct Energy, where she was responsible for all aspects of legal, government regulatory and compliance functions in North America, as well as for external communications. 

Ms. Graebner has more than 25 years of experience as an executive in the energy sector for several corporations including: Dynegy, Inc., Duke Energy International, PNM Resources, Inc., and Conoco, Inc.  Additionally, she served as the Executive Vice President and General Counsel of H&R Block, Inc. and was an Associate at Eckert Seamans.

Ms. Graebner has vast experience in the areas of corporate governance, risk evaluation and risk management, cybersecurity, compliance and ethics, crisis management, investigation/litigation and finance.

She earned her Doctor of Jurisprudence from The American University, Washington, D.C. and a Bachelor of Arts in International Relations from Dickinson College in Carlisle, Pennsylvania.  She is an accomplished alumnae of the DirectWomen Board Institute, class of 2008.

Ms. Graebner serves on the board of the Sandia Foundation as well as the Road Runner Food Bank, both located in Albuquerque, New Mexico. She is an active member of the American Bar Association’s Corporate Governance Committee and its task force on the roles of shareholders and directors. 

Ms. Graebner is a member of the bar in the states of Texas, New Mexico, Missouri and the Commonwealth of Pennsylvania. From 2004 to 2006, she received the prestigious designation as Texas Super Lawyer and during 2005, she was the recipient of the Houston Business Journal’s Best General Counsel Award.
